By (1) using or accessing the Site or the Services; (2) downloading, accessing, installing or using the Software; (3) paying for someone else to use or access the Site or the Services or download, access, install or use the Software; or (4) participating in any physical or nonphysical activities as a result of video, audio, textual, or other content (“Content”) on the Site, you agree to the Terms and conditions set forth below. If you do not agree with these Terms, you should not use the Site or utilize Content from the Site. For the purposes of this agreement, “you” means any entity interacting with the Site or its Content in any manner. If you are a parent, guardian, or other person who enables a child to access the Site, Services, or Content, you agree to stand in the shoes of such child for the purposes of making us whole in case of damages or indemnification that could properly lie against such a child.

This Site and its Content is not intended for the independent use of anyone under the age of thirteen (13) years. If you are under the age of thirteen (13), you must ask your parent or guardian for permission to use this website. If you are a parent, guardian, or relative of a minor child and you are purchasing Prepare U Pro on their behalf, please be aware that we strongly encourage adult engagement with any minor children accessing Prepare U Pro. Your availability and engagement with them while they interact with these materials is a vital part of maximizing the potential benefit of Prepare U Pro and minimizing any potential stresses associated with the program. If you elect to have a minor child access the program without parental guidance or other comparable support, you agree to assume the full responsibility for any such actions.

Acceptable Use

The Company does not recommend or censure any specific professionals, tests, products, procedures, opinions, or other information through its inclusion or omission of them on the Site. Ambassador Program

Prepare U Pro may be promoted by independent Ambassadors who earn commissions on referred sales. Ambassadors are independent contractors, not employees or agents of the Company, and have no authority to bind the Company, modify these Terms, alter pricing or refund policies, or make representations beyond the Company’s official materials. Any statement by an Ambassador that conflicts with these Terms or with the Company’s published materials is unauthorized and does not bind the Company. Participation as an Ambassador is governed by a separate Ambassador Agreement.

Data Collection and Use

Consent to Data Collection: By using PrepareUPro.com, you hereby grant The Live Network, PBC the right to collect survey and assessment data generated during your use of the service. This data collection is essential for providing and improving the services offered to you.

Data Security: The Live Network, PBC is committed to protecting your data. All collected data will be encrypted and stored securely. We take reasonable measures to protect your information from unauthorized access, alteration, and destruction.

De-Identification of Data: To better understand user outcomes and enhance user experience, The Live Network, PBC may de-identify your data. De-identified data means that any personally identifiable information will be removed or altered to prevent the identification of the individual user.

Communications and Notifications

Consent to Receive Notifications: By creating an account and using Prepare U Pro, you agree to receive periodic communications, updates, and notifications from The Live Network, PBC via text messages, emails, and other forms of push notifications. These communications may include, but are not limited to, service updates, promotional offers, renewal reminders, and information related to your account or services.

Charges and Fees: You acknowledge that choosing to receive notifications via text or other mobile messaging services may incur charges from your mobile service provider. The Live Network, PBC is not responsible for any messaging or data fees you may be charged by your mobile network.

Modification of Notification Policy: The Live Network, PBC reserves the right to modify the notification policy at any time. Changes will be communicated through the service or other appropriate means. Your continued use of Prepare U Pro after such changes have been notified will constitute your consent to those changes.

Nature of Service

Acknowledgement of Service: Prepare U Pro is an evidence-based program designed to support your well-being and improve health outcomes. While the program is based on research and has shown positive results in various settings, it is not a replacement for professional therapy or medical services.

User Understanding: By using PrepareUPro.com, you acknowledge and agree that the service is not intended to replace professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or another qualified health provider with any questions you may have regarding a medical condition.

Limitation of Liability: The Live Network, PBC and Prepare U Pro are not responsible for any decisions or actions taken by you as a result of using Prepare U Pro. You are encouraged to consult with healthcare professionals for any medical or psychological conditions. The Live Network, PBC and Prepare U Pro do not endorse or assume responsibility for the content or effectiveness of any treatment or therapy that you may access based on the information provided through our service.

AI Coach and AI-Generated Features

Prepare U Pro includes features that use artificial intelligence, including the Prepare U Pro Personalized AI Coach and AI-generated reflections and outcomes. AI-generated content is produced by automated systems, may contain errors or inaccuracies, and is provided for educational and self-development purposes only. The AI Coach is not a therapist, medical provider, or crisis service, does not provide medical, psychological, or diagnostic advice, and is not a substitute for care from a qualified professional. If you are experiencing a mental health emergency, contact your local emergency number or a crisis line immediately. You are responsible for evaluating any AI-generated content before acting on it, and the disclaimers and limitations of liability in these Terms apply fully to AI features.

Employment Status

Nothing in this agreement should be construed to be an offer of current, ongoing, or potential employment. Users of the Site are not employees of TLN and employees of TLN are not acting in a consultative role to users of the Site.

Professional Responsibilities

While the Company at our discretion may modify or remove Content to comply with existing laws or regulations, the final responsibility for legal and professional compliance rests with any professionals featured on the Site or in the Content and/or the regulatory bodies that license, credential, or otherwise make possible their practice. By your use of the Site, you agree that you understand this.

No Unlawful or Prohibited Use / Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use Prepare U Pro strictly in accordance with these Terms of Use. As a condition of your use of the Site, you warrant to The Live Network PBC DBA Prepare U Pro that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All Content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of The Live Network PBC, Prepare U Pro, LLC, its suppliers or partners, or other legitimate copyright holders and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends, or other restrictions contained in any such Content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the Content, in whole or in part, found on the Site. Prepare U Pro Content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected Content, and in particular you will not delete or alter any proprietary rights or attribution notices in any Content. You will use protected Content solely for your personal or family use, and will make no other use of the Content without the express written permission of the Company and the copyright owner. You agree that you do not acquire any ownership rights in any protected Content. We do not grant you any licenses, express or implied, to the intellectual property of the Company or our licensors except as expressly authorized by these Terms.

Subscriptions, Billing, and Automatic Renewal

Plans. Prepare U Pro is offered as a paid subscription on a monthly or annual billing cycle, at the prices and with the features displayed at the time of purchase. Prices are subject to change for future billing periods as described below.

Automatic Renewal — Please Read. ALL SUBSCRIPTIONS RENEW AUTOMATICALLY. Unless you cancel before the end of your current billing period, your subscription will automatically renew — monthly plans for successive one-month periods and annual plans for successive one-year periods — and the payment method on file will be charged the then-current price for your plan at the start of each renewal period. By subscribing, you authorize these recurring charges. For annual plans, we will send a renewal reminder to the email address on your account before your renewal date. You may cancel at any time as described below, effective at the end of the current billing period.

How to Cancel. You may cancel your subscription at any time through your account settings on the Site, or by contacting us at support@prepareupro.com. Cancellation takes effect at the end of your current billing period; you retain access until then. We do not charge cancellation fees.

7-Day Money-Back Guarantee. If you are not satisfied for any reason, you may request a full refund within seven (7) days of your initial purchase by contacting support@prepareupro.com. Refunds under this guarantee are limited to one (1) per household. This guarantee applies to your first purchase of a subscription and does not apply to renewal charges, which may be avoided by cancelling before the renewal date. This guarantee is in addition to, and does not limit, any cancellation rights you may have under applicable law.

Notice of Cancellation Rights for In-Person Purchases. If you purchased your subscription in person (for example, from an authorized Prepare U Pro Ambassador at your home or at an event), you may have the right under federal and state law to cancel the transaction within three (3) business days, or such longer period as your state provides, for a full refund. A Notice of Cancellation is provided with all in-person sales. Nothing in these Terms limits any such statutory right.

Price Changes. We may change subscription prices from time to time. Price changes will not affect your current paid billing period and will apply only to subsequent renewals. For annual plans, we will notify you of any price change at least thirty (30) days before it takes effect, and your renewal at the new price constitutes acceptance. If you do not agree to a price change, cancel before your next renewal.

Payment; Failed Payments. You represent that you are authorized to use the payment method provided. If a renewal charge fails, we may retry the charge and/or suspend access until payment is completed. Amounts due are exclusive of any applicable taxes, which are your responsibility.

Promotional Offers and Referral Codes. Promotional discounts, introductory offers, and Ambassador referral codes cannot be combined; one promotional offer applies per transaction. Promotional pricing applies for the period stated in the offer, after which the then-current standard price applies to renewals. We may modify or discontinue promotional offers at any time, without affecting periods already paid.

Indemnification

You agree to indemnify, defend, and hold harmless The Live Network PBC, Prepare U Pro, LLC, and their respective officers, directors, employees, agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules, or regulations. TLN reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with the Company in asserting any available defenses.

European Union

While TLN consistently strives to meet or exceed the best practices in the areas of privacy, reliability, and ethical conduct, the Site was not specifically designed for use within the European Union or its jurisdictions.

Liability Disclaimer

THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE INFORMATION HEREIN. THE LIVE NETWORK PBC DBA PREPARE U PRO AND/OR ITS SUPPLIERS MAY MAKE IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.

THE LIVE NETWORK PBC AND PREPARE U PRO, LLC AND/OR THEIR SUPPLIERS MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. THE LIVE NETWORK PBC AND PREPARE U PRO, LLC AND/OR THEIR SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LIVE NETWORK PBC OR PREPARE U PRO, LLC AND/OR THEIR SUPPLIERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF THE COMPANY OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE SITE.

Termination / Access Restriction

The Live Network PBC DBA Prepare U Pro reserves the right, in its sole discretion, to terminate your access to the Site and the related Services or any portion thereof at any time, without notice. If we terminate your access other than for your violation of these Terms, we will refund the prorated unused portion of any prepaid subscription period. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Michigan and you hereby consent to the exclusive jurisdiction and venue of courts in Michigan in all disputes arising out of or relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this section.

You agree that no joint venture, partnership, employment, or agency relationship exists between you and the Company as a result of this agreement or use of the Site. The Company’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of the Company’s right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by the Company with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.

Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and The Live Network PBC with respect to the Site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and the Company with respect to the Site. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish of the parties that this agreement and all related documents be written in English.
